Banking, Finance and Insurance Group of the Firm advises on regulatory, general corporate and transactional matters. It has experience of serving a number of financial institutions, banking and insurance companies in Bangladesh. It advises on syndicated loans and all kinds of security arrangements. The group also deals with all types of securities, documentation, drafting and perfecting of the securities including insurance and marine insurance, as well as the litigations on all sorts of matters relating thereto, including drafting and reviewing of loan and security documents of all types of borrowers and other financial institutions; preparation of notices for the defaulting borrowers; drafting of banking and commercial documents and agreements, viz. all sorts of Syndicated Loan Agreements and related documents, Master Franchise Agreements, Loan Agreements, Pari-Passu Security Sharing Agreements, Agreements relating to online banking and electronic bill payments, etc.; giving legal opinion on banking and commercial issues and matters in relation to documentary credits. The group provides general advice and assistance with respect to ongoing banking and finance compliance issues, corporate upkeep, review and development of bank documentation, securities questions and other matters including the preparation and filing of applications for the formation of bank and non-bank entities (including brokerage and financing subsidiaries, credit card banks, branches, agencies, representative offices and trust companies), merger applications, change of control applications and compliance reports. It also deals with litigation, arbitration, negotiation, mediation and all sorts of settlements arising out the aforesaid matters, including conducting cases under the Artha Rin Adalot Ain and Negotiable Instruments Act for recovery of debt, etc. It also advises on insurance matters and assist its clients to deal with insurance claims from all respects.

The Corporate group of the Firm advises its clients on the intricacies of setting up business in the various jurisdictions and the legal ramifications of all the peripheral issues involved in the process. Examples of the issues with which it deals in advising a client on the formation of a business in a specific jurisdiction are: researching the forms of businesses allowed in the jurisdiction; structuring the business to conform to both the client's and the jurisdiction's requirements; negotiating and drafting the relevant agreements; and obtaining necessary documents and licenses from the appropriate ministry, etc. It also advises its clients on more specific corporate and commercial issues. One of the most common and helpful services it provides to the clients is reviewing existing agreements and documents to determine if their terms are within the laws of a particular jurisdiction and their interests. It also advises clients doing business in a certain jurisdiction of obligations they may face of which they may be unaware. It also offers its clients a superior level of region-specific work, such as due diligence, translations and location of agents and other sources. It maintains active contact with its clients. It monitors the local daily newspapers and the official Gazette of the various jurisdictions for items of interest to its clients and items that may affect its clients' business dealings in their specific regions. Additionally, it monitors the legislative processes of the various countries and notify its clients of recent enactments that may be of relevance to them. It assists foreign investors in structuring the appropriate form of business and in negotiating and setting up commercial presence region wide. The Firm also regularly acts as the outside counsel for major banks and corporations for all aspects of their corporate legal work. It also helps negotiate, and draft relevant agreements and obtain necessary documentation and licenses. It offers comprehensive legal services on business and corporate matters which includes all sorts of company matters and matters related to partnership, joint venture; e.g. filing and preparation of Memorandum and Articles of Association, Partnership Deeds, Agreements, Service Agreements, Supply Contracts, GSA Agreements and supplemental, modification and amendments thereof and other related papers and documents, basic charge and modifications thereof with the RJSC and obtaining necessary permissions and approvals from concerned governmental authorities, giving legal opinion on various matters relating to the companies and partnerships. It has also very strong base and provides all sort of legal services regarding laws relating to international trade, documentary credits, insurance, and admiralty matters etc. It carries out due diligence assignments in connection with corporate mergers and acquisitions, and debt and equity financings, and assists in the purchase and sale of real property in bankruptcy and probate proceedings.

The Firm's real estate group's practice includes representations of corporate clients as well as individual investors in the purchase and sale of properties including office buildings, manufacturing plants and hotels, and in commercial leasing, mortgage financings, and construction agreements, including vacant land development, building renovations and space redesign. It advises and prepares documents for its clients regarding transfer of ownership, lease agreement, mortgage documents and all other related documents in relation to immovable properties. It also regularly gives opinion and settle land disputes through litigation as well as by way of amicable settlement including partition suit, suit for khas possession and recovery of land, permanent injunction, suit for redemption etc. The group also assists its clients to obtain succession certificate and to register deeds and documents, etc. The Firm also assist in conducting cases for change of names, etc. before the governmental and local authorities.

The Firm has strong base in relation to laws relating to Customs, VAT and Income Tax. The Firm's Tax Group is headed by Senior Consultants who have vast knowledge and practical experience in dealing with customs, VAT and Tax matters. They regularly give opinion and deal with disputes through settlement and litigation both in the courts of law and tribunals. The members of the Firm also attend meetings and conferences with the members and officials of the governmental, semi-governmental and all other authorities in order to settle the disputes amicably. It has developed particular expertise in corporate restructurings, joint ventures, the use of hybrid entities, licensing and distribution arrangements, equipment leasing, project finance and foreign investment in Bangladesh. The tax department also represents clients in audits and controversies before the governmental and local tax authorities. Other departments of the Firm often work closely with the tax group to devise solutions for complex tax problems.

The labour group of the Firm also provides labour and employment law advice to the clients. Much of the group's work is in the form of opinions to the clients relating to the labour and employment rules and regulations of the jurisdictions involved in light of the up-to-date developments and changes. For those clients establishing businesses or offices in a particular country, in addition to drafting employee contracts, it advises and assists its clients in obtaining all the necessary paperwork and documents to normalize and legalize their employees. The group's work in this area also involves more employee-specific issues, such as advising clients on the interplay of local labour laws and the laws of the country in which the employees where hired. Furthermore the group assists foreign entities in understanding the national labour encouragement laws.

The Firm deals with the law of intellectual property and advises on the issues of Patent, Copy Right, Trade Mark and Design and conduct cases on behalf of the clients in the courts of law. The Firm also assists its clients to obtain necessary licence / permit from the government bodies and has capacity to defend its clients if their rights on the intellectual properties are infringed. Advice on these intellectual property matters includes searching, filing and renewing trademarks and trade names, logos, design, obtaining patents and patent registrations and preventing the unauthorized use of client's trademarks, trade names, logos and patents. The Firm advises on issues relating to various infringements, such as counterfeit and piracy, and on the means of remedying those infringements.

Another area that the Firm is busy in is that of building and construction Projects, where our lawyers assist and advise developers in mega projects. This work includes advising the client on administrative, environmental and constitutional issues, as well as dealing with various public authorities. It also gives opinion and ensure the right, title and interest of the landowner in the respective lands, verify the genuineness of the land related documents, parchas, khatians, etc. It also provides its services for registering the land related documents, etc.

The Firm believes that the amicable settlement or settlement out of the court is the best solution for its clients with the view to save cost, time and effort of its clients. It represents its clients before all sorts of arbitration, mediation, negotiation and before the table of amicable settlement to protect and secure the best interest of its clients.

The Firm deals with and conducts all sorts of litigations both civil and criminal before the Courts of laws, including Supreme Court of Bangladesh. It also represents its clients before the tribunals, governmental, autonomous and local authorities.

The Firm deals with and advises on the law of telecommunication and conduct cases on behalf of the clients in the courts of law. The Firm also assists its clients to obtain necessary license / permit from the government bodies.

Corporate Group of the Firm advises its clients in analyzing where and how to locate production, distribution and other business facilities in order to maximize the client's economic advantages in the World economy, including securing benefits under bi-lateral and multi-lateral investment agreements. In addition, the group advises clients on ways to minimize the possibility of becoming a target of a trade dispute and, if necessary, on how to defend themselves should a trade dispute arise or should their products become subject to international trade, tariff and customs barriers. Consistent with the Firm's approach of working closely with clients, the Group begins its representation of a client by eliciting as much information as possible about the client's specific industry focus and strategic goals. Based on this information, the Group works closely with the client to develop a plan regarding such matters as, for example, where to locate production, distribution and other facilities based on applicable rules of origin, and other factors, to maximize the clients' ability to penetrate new markets or defend or initiate trade disputes.

The Firm advises in the design and implementation of major project finance transactions. Its work in this area has included legal structuring and the development of new forms of transactions to adapt internationally known structures to local legal requirements; development of bidding guidelines and legal administration of international public bidding processes; drafting of purchase agreements and other supply contracts forming the basis for the project financing; drafting and negotiation of other project documents, including security agreements, agreements among consortium members and agreements with suppliers and engineering, procurement and construction contractors; and negotiation and drafting of financing agreements.

The Firm assists and advises its clients regarding the rights and obligations in relation to use of online services, e-commerce, software licenses and other related matters. It also assists its clients in preparation and drafting of different deeds and documents for availing software licenses, software agreements, etc.
